NCPA Board Member Code of Conduct

Introduction
Members of the Board of Directors and staff carry certain duties and responsibilities for the well-being of the Association. This Code of Conduct outlines some of those duties and responsibilities in accordance with NCPA’s governing documents[1].

Confidentiality
Board members and staff may have access to information that if improperly disclosed could be damaging or sensitive to members or staff, harmful to the best interest of the Association, or potentially create legal liability. Information provided to the Board and staff may concern personnel, financial, contractual, membership or legal matters. Such information is confidential and is intended for use in decision-making and governance. Confidential information shall not be disclosed to any outside party, including other Association members, without prior authorization of the President or Executive Director.

Conflicts of Interest
Board members and staff members owe a fiduciary duty to the Association. Thus, no Board or staff members shall engage in any business, financial or outside organizational activity that conflicts with the interests of the Association. Board and staff members shall not solicit members for any reason that is not directly related to official Association business. Board members shall disclose to the President any potential conflict of interest regarding a transaction or action that the Board is considering.  Generally, a Board member may not participate in a transaction or action in which they have a business, financial or outside organizational interest.

Violations
Violations of the Code of Conduct may result in disciplinary action in accordance with the governing documents. Discipline may include removal of a Board member from office or termination of a staff member.
